Welcome to Eiva HR Solutions (“Company”). By accessing our website, interviewing candidates, or engaging our Remote Providers (“RP”), you (“the Client”) agree to be bound by these Terms of Service.
Recruitment & Placement: The Company specializes in recruiting and matching RPs to the Client’s specific needs. The Client is responsible for the final selection of any candidate.
Service Model: The Company acts as the primary contractor, managing the engagement and payments to the RPs to mitigate local employment risks for the Client.
Advance Monthly Payments: Our billing model is strictly based on payment in advance. Invoices are issued during the first week of each month for that month’s estimated services.
Immediate Payment & Suspension of Service: All invoices are due for immediate payment (Net 0 to Net 7). Timely payment is a material condition of this agreement. The Company reserves the right to suspend or terminate the RP’s services immediately and without prior notice if any invoice remains unpaid after its due date.
Signing Fee: A non-refundable fee of $350 is due upon the initiation of the recruitment process.
Adjustments: Discrepancies between estimated and actual hours worked will be balanced in the following month’s invoice.
Attendance Tracking: RPs must use the Company’s designated tracking system. These logs serve as the definitive record for billing.
Holidays: RPs are entitled to two (2) paid holidays: Christmas Day (Dec 25th) and New Year’s Day (Jan 1st) to be paid by the client.
Other Leave: Any additional leave must be pre-approved by the Client and may be subject to additional charges.
Notice periods are strictly enforced to maintain professional stability:
First Month: 3 days’ notice.
Months 2 to 8: 14 days’ notice.
After 8 months: 21 days’ notice.
Company’s Right to Terminate: The Company may terminate the engagement immediately in the event of a material breach by the Client, including but not limited to non-payment or unethical conduct towards the RP.
Supervision: The RP works under the Client’s direct supervision. The Company is not liable for the quality of work, errors, or omissions of the RP.
Indemnity: The Client shall indemnify the Company against any claims arising from the Client’s use of the RP’s work product.
Transfer of Rights: Subject to full and final payment of all invoices, all IP rights created by the RP during the engagement are assigned to the Client. The Company retains a lien over the work product until all outstanding debts are cleared.
Restricted Period: The Client shall not hire or engage any RP provided by the Company independently for a period of 12 months following termination.
Placement Fee: Any breach will trigger an immediate “Placement Fee” equivalent to 25% of the RP’s annual compensation.
